Amphi Studios (“Amphi,” “We,” or “Our”) is owned and operated by Lilee Design Company Limited.

These Terms and Conditions govern your access to and use of Amphi Studios’ coworking space, event space, and related services (“Services”). Please read these terms and conditions carefully. By accessing our physical space, website (amphistudios.com), or using our Services, you (“Member,” “Customer,” “Authorized Representative,” “you,” or “your”) agree to be bound by our General & Privacy Terms and Conditions ,  and the below following Terms & Conditions that is most relevant to you as communicated in our booking form and/ or agreement you sign and commit to in becoming our member and/ or to use our services and facilities.

We may update these Website Terms and Conditions and the Terms and Conditions for accessing our property or services, when necessary, without prior notice. It is your responsibility to familiarize yourself with these terms and any changes.

  1. Services Provided
    Amphi Studios provides short-term access to coworking spaces, event spaces, and related amenities for a fee. Your use constitutes a prepaid license, not a tenancy.
  1. Eligibility
    You must be at least 18 years old to use our Services. Individuals under 18 require express permission and parental consent acceptable to Amphi’s discretion.
  1. Account Information
    You are responsible for maintaining accurate and up-to-date contact and identification information. Notify us promptly of any changes.
  1. Privacy
    Your use of our Services is subject to our Privacy Terms, available on our website.
  1. Acceptable Use
    You agree to use the space and Services legally and ethically. You will not:
  • Violate any laws or regulations.
  • Infringe upon the rights of others.
  • Engage in illegal or fraudulent activities.
  • Generate offensive, abusive, or hateful content.
  • Distribute illegal or prohibited information.
  1. Amphi’s Rights
    Amphi reserves the right to:
  • Access the space for safety, emergency, or service-related purposes, with or without notice.
  • Alter or relocate the assigned space with prior notice.
  • Modify or reduce the provided Services or furnishings.
  • Provide Services directly, through affiliates, or third parties.
  1. Authorized Representative
    The individual who makes the purchase is considered the Authorized Representative, with authority to manage the Plan/Package Agreement. Changes to the Authorized Representative require written notification signed by both the initial and new representatives. Amphi is entitled to rely on communications to or from the Authorized Representative. You may not assign or transfer your rights or obligations without our prior written consent.
  1. Payment Terms
    You agree that:
  • You are obligated to pay the fees outlined in your invoice or Agreement Form.
  • Facility use credits are non-transferable and cannot be rolled over without written approval.
  • Overage fees apply for exceeding allocated usage and are subject to change.
  • Late payments accrue interest at 10% per annum.
  • Amphi may suspend Services or terminate the Agreement for outstanding payments.
  • Fees are non-refundable unless otherwise specified.
  • Changes to your Agreement may incur additional charges.
  1. Service Retainer/Equipment Deposit
  • The Service Retainer serves as security for your obligations and is not a payment reserve.
  • You authorize Amphi to deduct amounts owed from the Service Retainer.
  • You must replenish any deducted amounts within seven (7) days.
  • Failure to replenish may result in Agreement termination and forfeiture of the remaining Service Retainer as liquidated damages.
  • Subject to full compliance with the Agreement, the Service Retainer balance will be returned within thirty (30) days after termination or expiration, provided all necessary bank account information has been provided.
  1. Pass Types: Hotdesk, Coffee/Day/Phonebooth Pass, & Virtual
  • Coffee Pass: 3-hour access to the Converge open workspace.
  • Day Pass: 9-hour access to the Converge open workspace.
  • Phonebooth Pass: 1-hour access to a Phonebooth workspace.
  • Pass Plans & Up & Go Virtual Plan: Refer to your Invoice/Agreement for details.
  • Excess usage incurs additional charges, subject to availability.
  • Passes are valid for 30 days from purchase.
  • Advance hotdesk reservation is recommended and subject to availability. Pass purchase does not guarantee space availability.
  • No refunds for cancellations, absences, or expired Passes.
  • Additional charges apply for access to other facilities and services (e.g., printing).
  • Passes exclude use of Amphi Studios’ address as your business address. Misuse is illegal.
  • Amphi is not liable for loss or damage to belongings in the shared workspace.
  • Shared internet access is provided, but Amphi does not guarantee security or availability.
  • Outside food and drink are prohibited in the hotdesk area, except in the pantry.
  • Amphi reserves the right to remove guests who violate these Terms.
  • Amphi is not liable for delays or failures due to events beyond its control.
  • Amphi is not responsible for disputes between members or third parties.
  1. Up & Go Virtual Members
  • One company and one trade name registration per membership.
  • Additional registrations incur charges.
  • Certified document copies and an Anti-Money Laundering (AML) form are required for verification.
  • Services will be withheld if verification is not completed or the AML form is not signed.
  • Proof of identity and authorization to receive mail is required.
  • Mail and parcels will be rejected during suspension/termination.
  • Upon termination/expiration, you must cease using Amphi’s address as your registered address within 10 days and provide evidence of the change to the Companies Registry. A service fee of HK$500 per month will be charged for non-compliance.
  • Adherence to Mailbox/Locker/Studio Storage Terms and Conditions on our website is required.
  1. House Rules
    You and your members must comply with the following:
  • Be at least 18 years of age.
  • Notify Amphi of changes to contact/payment information.
  • Read email notifications regarding changes to Services, fees, or other updates.
  • Acknowledge that certain areas may be video recorded for security.
  • Ensure responsible alcohol consumption.
  • Share common spaces respectfully.
  • Provide reasonable notice and complete paperwork for events.
  • Be responsible for damage beyond normal wear and tear.
  • Pay replacement fees for lost, stolen, or destroyed items.
  • Acknowledge that Amphi is not liable for unsigned mail or packages.
  • Obtain prior approval for alterations or installations.
  • Maintain up-to-date and malware-free electronic equipment.
  • Consent to the use of your company name/logo for membership display.

Prohibited Activities:

  • Disturbing or dangerous activities.
  • Illegal or offensive conduct.
  • Misrepresentation.
  • Unauthorized use of intellectual property.
  • Filming without consent.
  • Retail, medical, or residential use of the space.
  • Fraudulent use of mail services.
  • Storing excessive valuables.
  • Copying or sharing keys.
  • Allowing unregistered guests.
  • Operating equipment with excessive heat or electrical output.
  • Bringing weapons or hazardous materials.
  • Bringing pets without consent.You are responsible for ensuring compliance with all House Rules and any Main Premise-specific rules. Penalties or fines resulting from breaches are your responsibility.
  1. Term and Termination
  • The Agreement is effective upon Amphi’s confirmation of full payment and signature by both parties (“Start Date”).
  • The Commitment Term commences on the Pass/Plan/Package purchase date.
  • The Agreement continues until terminated.
  • Early termination results in immediate due of the entire Agreement Fee obligations and forfeiture of the service retainer.

Amphi may withhold Services or terminate the Agreement:

  • Upon breach of the Agreement.
  • Upon termination, expiration, or loss of rights in the Main Premises.
  • For outstanding fees.
  • For failure to comply with these Terms, General Terms, Privacy Terms, or other policies.
  • For creating a nuisance.
  • If your actions affect Amphi’s leases, permits, or licenses.
  • With 7 business days’ written notice.Upon termination, you remain liable for past due amounts. An individual Member’s access to Services and the Main Premises will be terminated upon the earlier of: (i) termination or expiration of the Agreement; (ii) removal from the Member List; or (iii) notice of violation of the Agreement.
  1. Waiver of Claims
    To the extent permitted by law, you waive all claims against Amphi Parties resulting from injury, damage, loss, or theft, except to the extent caused by the gross negligence, willful misconduct, or fraud of the Amphi Parties.
  1. Indemnification and Limitation of Liability
  • The aggregate monetary liability of the Amphi Parties will not exceed the total Plans and/or Package Membership Fees paid in the twelve (12) months prior to the claim.
  • The Amphi Parties are not liable for indirect, special, incidental, consequential, reliance, or punitive damages, or any loss of profits or business interruption.
  • You will indemnify the Amphi Parties from claims resulting from any breach of this Agreement or any actions or omissions, except to the extent a claim results from the gross negligence, wilful misconduct or fraud of the Amphi Parties.
  • You are responsible for damages caused by your guests and vendors.
  • Amphi Parties shall not be liable for any obligations arising out of a settlement made without its prior written consent.
  1. Insurance
    You must maintain personal property insurance and commercial general liability insurance. You are also responsible for workers’ compensation insurance.
  1. Other Members & Third-Party Services
    Amphi is not responsible for the actions of other members or third parties. Disputes between members are not Amphi’s responsibility. Third-Party Services are governed by separate agreements between you and the Third-Party Service Providers.
  1. Third Party Rights
    A person who is not a party to this Agreement has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623, Laws of Hong Kong) to enforce any term of this Agreement.
  1. Arbitration
    This Agreement is governed by the law of Hong Kong. Any dispute shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
  1. Miscellaneous
  • Nature of the Agreement: This is a service agreement, not a lease. You do not have exclusive possession of any part of the Office Space.
  • Relationship of the Parties: The relationship is not that of landlord-tenant. No security of tenure, tenancy interest, leasehold estate, or other real property interest is created. The parties are independent contractors.
  • Waiver: Waivers must be in writing and signed by the waiving party.
  • Subordination: This Agreement is subordinate to Amphi’s Lease.
  • Severable Provisions: Invalid provisions do not affect the remaining provisions.
  • Notices: Notices will be given via email and are effective on the first business day after being sent.
  • Headings; Interpretation: Headings are for convenience only. “Including” means “without limitation.”
  • Counterparts and Electronic Signature: The Agreement may be executed in counterparts, including electronic signatures.
  • Anti-Money Laundering: You warrant compliance with Anti-Money Laundering Laws and will provide requested documentation.
  • Entire Agreement: This Agreement constitutes the entire agreement and supersedes any previous agreements.
  • Language: The English version prevails in case of conflict.

By using Amphi Studios’ Services, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
